Terms of Service

PLEASE READ CAREFULLY. BY ACCESSING OR USING THE WAVE EVENTS SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. THIS AGREEMENT INCLUDES A MANDATORY ARBITRATION CLAUSE AND CLASS ACTION WAIVER.

1. About Wave Events

Wave Events, Inc. ("Wave," "we," "us," or "our") provides event management and engagement software for in-person and virtual events ("Events").

Our offerings include mobile and web applications, attendee tools, and related hosting and support (collectively, the "Services").

Event organizers using the Services are "Clients." Attendees and participants are "End Users." These Terms govern use of the Services by both.

2. Acceptance of Terms

By using the Services, you accept these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, stop using the Services immediately.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

3. Changes to Terms

We may modify these Terms at any time. Updates take effect when posted and are not retroactive.

Your continued use after the effective date means you accept the updated Terms.

4. Privacy and Data Use

Our collection and use of personal information are described in our Privacy Policy.

Clients who process End User data must comply with all applicable data laws, including the GDPR, CCPA/CPRA, and similar regulations.

Data may be transferred and processed in the United States or other jurisdictions under appropriate safeguards.

5. Payments (Clients Only)

Fees for paid Services are due as specified in your agreement or order.

Unless otherwise stated, fees are non-refundable, and prices may change with 30 days' notice.

Clients are responsible for all applicable taxes except those on Wave's income.

6. User Content

Users may submit content (text, media, or data) ("User Content").

You retain ownership but grant Wave a worldwide, royalty-free, sublicensable license to use, host, display, and distribute such content solely to operate and improve the Services.

You represent that your content does not violate any law or third-party rights.

We may remove content that violates these Terms or is otherwise objectionable.

7. Acceptable Use

You agree not to:

  • Post unlawful, defamatory, obscene, or harmful material.
  • Harass or harm others.
  • Send spam or collect data without consent.
  • Upload viruses or interfere with system security.
  • Copy, scrape, or reverse engineer the Services.

We may suspend or terminate your access for violations.

8. Virtual Events and Recordings

Virtual Events may include video or audio streaming and may be recorded by the Client.

By participating, you consent to such recording and limited use of your likeness for legitimate event purposes.

Streaming technology may be provided by third parties subject to their own terms.

9. Intellectual Property

Wave owns all rights, title, and interest in and to the Services, including the software, design, and content.

You receive a limited, non-exclusive, revocable license to use the Services as permitted under these Terms.

All trademarks, logos, and proprietary materials remain the property of Wave or its licensors.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAVE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. USE IS AT YOUR OWN RISK.

11. Limitation of Liability

TO THE EXTENT PERMITTED BY LAW, WAVE AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL.

WAVE'S TOTAL LIABILITY SHALL NOT EXCEED:

  • For Clients: The fees paid to Wave in the six (6) months prior to the claim;
  • For End Users: One hundred U.S. dollars ($100).

Some jurisdictions do not allow certain exclusions; in those cases, liability is limited to the fullest extent permitted.

12. Termination

You may cancel your account or subscription by emailing hello@wave.events.

We may suspend or terminate access for violations of these Terms or legal requirements.

Upon termination, your rights under these Terms end immediately.

13. Third-Party Services

The Services may integrate or link to third-party tools (e.g., payment, video, or analytics providers).

We are not responsible for third-party products, terms, or conduct. Use them at your own risk.

14. Dispute Resolution and Arbitration

Before filing a claim, you agree to try to resolve disputes informally by contacting hello@wave.events.

If unresolved within 60 days, disputes will be settled by binding arbitration administered by the American Arbitration Association (AAA) in San Francisco County, California, under the Federal Arbitration Act.

Either party may seek small claims or injunctive relief in court for IP issues.

Class Action Waiver: All claims must be brought individually. You and Wave waive any right to participate in a class, collective, or representative action.

You may opt out of arbitration within 30 days of first use by emailing hello@wave.events with the subject "Arbitration Opt-Out."

15. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Exclusive venue for any permitted court action is San Francisco County, California.

16. General

These Terms, together with our Privacy Policy, form the entire agreement between you and Wave.

If any provision is found unenforceable, the remainder remains in effect.

You may not assign these Terms without our consent; Wave may assign them freely.

We are not responsible for delays or failures caused by events beyond our control (force majeure).
